The American Chamber of Commerce in Shanghai's Legal Committee invites you to a timely briefing on U.S. Supreme Court Ruling Against IEEPA Tariffs and Implications for Businesses on Friday, March 13, from 9:00 a.m.-10:00 a.m. to be held via Zoom Meeting.


T. Augustine Lo and Karen Fan, Partners at Dorsey & Whitney LLP will discuss Learning Resources, Inc. v. Trump and Trump v. V.O.S. Selections, Inc., the watershed U.S. Supreme Court decisions issued on February 20, 2026. The program looks to what is next for U.S. trade policy but also will discuss options for U.S. importers to receive tariff refunds. The Supreme Court struck down several of President Trump's signature tariff actions, which has widespread implications for every business that relies on goods imported into the United States. They will cover the immediate consequences of the Court's decision and the likely impact on U.S. customs and international trade law.

    Augustine is an attorney in Dorsey’s National Security Law Practice Group. He advises clients on U.S. customs and international trade law, economic sanctions, export controls, and U.S. Government review of foreign investments. With experience in state and federal court litigation in New York and Seattle, Augustine protects clients’ interests in government enforcement actions and international trade proceedings. Proficient in Mandarin Chinese, he also counsels clients on matters relating to East Asia.

    Augustine has obtained successful outcomes for clients in customs enforcement matters involving U.S. Customs and Border Protection (CBP) and tariff relief in Section 301 proceedings before the Office of the U.S. Trade Representative (USTR). He advises clients on U.S. trade remedies under Section 232, antidumping duties, countervailing duties, and safeguard duties. He counsels clients on tariff preferences under free trade agreements, including the U.S.-Mexico-Canada Agreement (USMCA).

    Augustine advises clients on national security requirements for cross-border transactions, including U.S. export controls under the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR), and economic sanctions programs administered by the Office of Foreign Assets Control (OFAC). He helps clients to successfully resolve matters through voluntary self-disclosures and license applications. He conducts corporate investigations and compliance training, and counsels clients on trade-related due diligence and disclosures for capital markets transactions, including mergers and acquisitions. He also advises clients on reviews by the Committee on Foreign Investment in the United States (CFIUS).

    Before relocating to Dorsey’s Seattle office, Augustine was at the firm’s New York office representing corporate clients in commercial disputes, including a major Chinese bank. He previously worked as an enforcement attorney in the Office of Chief Counsel at CBP Headquarters. Augustine served successively as a judicial clerk to two federal district judges in the U.S. District
    Court in Puerto Rico.

    Karen Fan is a partner, the Managing Partner and Chief Representative of Dorsey & Whitney Shanghai Office, qualified to practice in the State of New York and achieved PRC legal qualification.

    Fan’s practice areas include cross-border M&A, PE & VC investment, international joint venture, business sale and asset divestiture, and CFIUS risk control and compliance program. Fan has the ability to provide strategic advice and practical guidance to Chinese clients when they encounter legal and regulatory challenges in expanding businesses into the international market.

    Leading the China M&A group of Dorsey, Fan has completed many challenging and consequential cross-border M&A transactions, including (1) representing Visirna, a Greater China subsidiary of Arrowhead, in selling assets relating to Greater China rights to Plozasiran to Sanofi, (2) representing The Coca-Cola Company in the complex restructuring of the joint venture of still beverages business in China; and (3) representing Huntsman in restructuring an MDI facility in Shanghai (3) representing R&F Properties in the sale of the Guangzhou International Airport R&F Integrated Logistics Park to Blackstone. Under the leadership of Fan, Dorsey’s China M&A practice recently won the recognitions such as Deals of the Year 2021 to 2025: Cross Border by China Business Law Journal, China International Notable Law Firm by ALB Asia M&A Rankings 2022 – 2-24, Other Notable Firm: China in IFLR 1000 M&A Rankings 2022-2024. Personally, Fan has been recognized by China Business Law Journal as the Growth Driver in the A-List, 2025-2026 and IFLR1000 Rising Star Partner: M&A – Foreign: China, 2023 – 2025.

    Fan is also a frequent professional speaker at Select USA events hosted by the U.S. Department of Commerce on the topic of U.S. ever-changing legislation and policies on the clean energy industry. On that basis, Fan assisted numerous Chinese clean energy and EV component producers in navigating complex U.S. legal regime (including the Inflation Reduction Act, the One Big Beautiful Bill Act, and FEOC Rules) and developing strategic solutions to supply chain stability, market access, compliance and continued operations in the U.S. market.

    As one of the first batch of honorable foreign lawyer members of the Shanghai Bar Association (“SBA”), Fan is a regular speaker in the foreign legal training programs organized by the SBA.
