AmCham Shanghai’s Manufacturers’ Business Council (MBC) invites you to attend a special program on mitigating the legal risks of restructuring, downsizing, and closures on November 20th from 12:00 – 13:45 at the AmCham Shanghai Conference Center as we discuss the increasing number of liquidations in China for consolidation or reorganization purposes, and offshoring for relocation purposes or economic reasons.

Sharing their insights on this topic will be George Geh, Managing Director at AlixPartners, Jay Hoenig, Senior Advisor and former CEO Asia Pacific at East West Associates, and Lesli Ligorner, Partner at Morgan Lewis Consulting.

As Chinese growth slows amidst weak global recovery, business restructuring, downsizing or even closures for multinational companies in China is often a necessity. Many business aspects must be considered during this planning, and real-time problem solving is a must to maximize the financial potential while minimizing the downside risk.

Over the last 15-20 years, foreign companies have been pushed by their boards and pulled by large OEM's to capitalize on the massive and growing China market. Despite these challenges, profitability has generally been strong. Today however, the environment is changing due to increased competition and labor costs, as well as sluggish local and global markets, government regulations, localizing suppliers, etc.

This event will cover a range of issues regarding corporate transformations, including:

- How to reassess your business models to adapt to the changing business environment, including local leadership, organizational structures, sales and marketing strategies, product quality and simplification, production cost controls, etc.

- How to minimize the legal risks involved with restructuring and right sizing

- Understanding the legal aspects of liquidation and the risks involved from an employment perspective

    Managing Director and General Manager of AlixPartners (Shanghai) Business Advisory Services Ltd.

    George has over 30 years of professional experience in management consulting, private equity investment, corporate, as well as product development, engineering and manufacturing. As the managing director and general manager, George leads AlixPartners China business with responsibilities ranging from client development and project execution to staffing and office management. Over the past two years, he has helped a global fortune 100 company to redefine the business strategy for its consumer goods group and restructure that group’s China business through operations wind‐down and closure. He is currently helping a large Chinese company to address liquidity issues through better cash management and debt restructuring.

    Prior to joining AlixPartners, George was the co‐founder and managing partner of a boutique off‐shore private equity fund focusing exclusively on investments in China. His responsibilities included deal side activities as well as post‐deal portfolio management. Before his seven years in the private equity, George was the head of worldwide strategy & acquisitions and a member of the management committee for Alstom Power for four years, where he led the successful acquisition of a large listed Chinese power equipment company. Prior to that, George was an associate principal at McKinsey & Company for six years, advising CEOs and COOs of many leading multinational and Chinese domestic companies on various strategic and operational issues.

    George received his MBA from Carnegie Mellon University and M.S. in Materials Science from the Pennsylvania State University. He also has a bachelor of science in Materials Engineering from Shanghai Jiao Tong University.

    As former Chief Operating Officer Asia Pacific and Middle East for Hill and Associates Group and Chairman of Hill & Associates (PRC), Mr. Hoenig is responsible for managing the Asia Pacific and Middle East operations (Japan through ME) to include business strategy, strategic planning, executive business development, client relations, country operations and all client projects and assignments. Mr. Hoenig is highly experienced in managing operating risk in China such as labor activism, labor and commercial disputes, plant closures/downsizing and related crisis management issue.

    Mr. Hoenig has over 40 years’ experience in providing consulting services to both industry and government on a global basis. At Exxon, Rust International, and Sverdrup, he has been involved in the design, procurement, and construction of numerous, complex facilities to include DOE, NASA, and DOD launch facilities, Space Shuttle Assembly, chemical, automotive, mining, pulp and paper, food and beverage, breweries, electronics and semiconductors, and general manufacturing facilities. He has worked in Asia since 1994 and has lived in both Singapore and Shanghai.

    Mr. Hoenig graduated from Virginia Military Institute, is a Vietnam Veteran, and attended graduate programs at John Hopkins and Harvard. He received a Presidential Appointment under the Reagan/Bush administration and served in the Office of the Secretary of Defense as a Special Advisor.
