China's legislature amended the Company Law of the People's Republic of China on December 29, 2023. The amended version will take effect on July 1, 2024, and will significantly impact all types of companies in China, including foreign-invested enterprises (FIEs).
AmCham Shanghai's Legal Committee will host an event on Wednesday, January 24, from 3:30 p.m. to 5:00 p.m., in the AmCham Shanghai's conference room. Ron Cai, senior counsel at Zhong Lun Law Firm, will brief members on the key changes of the amended law, the impact on FIEs, and how FIEs can update their corporate documents and corporate governance in response.
Mr. Cai will cover the following topics:
- What are the main changes? What are the reasons for the changes?
- How does an FIE update its Articles of Association? What clauses need to be changed?
- What other key corporate documents should be created/changed?
- What are the new obligations and new potential liabilities for the shareholders, board directors, supervisors and corporate managers? How should an FIE respond to such changes?
- What other corporate governance changes should be made?
Cheng Wang, Chair of the Legal Committee's In-House Counsel will facilitate an open discussion after Mr. Cai's presentation.
