Summary

AmCham's Manufacturing Business Council and Ethics & Compliance Committee invites you join us for a discussion on Sino-Foreign Joint Ventures after COVID-19. The event will take place on November 20th from 3pm to 5pm at AmCham's Xintiandi Office. We'll begin with an overview of the post-COVID-19 global investment environment from Alan MacCharles, Partner in Commercial Strategy and Research for Deloitte. The presentation will cover international joint ventures for firms coming into China, as well as Chinese companies expanding abroad. Following the presentation will be in-depth discussion featuring panelists from diverse professions. Topics will cover a wide range of best practices including deal formation, compliance and due diligence, and operations. This comprehensive event aims to highlight the key concerns when entering into a cross-border partnership.

    Alan has over 20 years of consulting experience with Deloitte. He has been based in Shanghai since 2006.

    Alan has worked with multiple clients with JV Business plan support, drafting and negotiation support. He has worked on over 20 successful JV projects in the past few years. His practice includes a specialized partner search team, as well as multiple experienced members, with corporate M&A/JV experience in Chinese companies.

    From his work supporting both Chinese SOEs and MNCs in concluding joint venture arrangements, he has developed a methodology that leverages a pragmatic and cross-cultural approach, which saves clients considerable time and money. From experience working on both sides of the table (SOE and MNC), he is able to bring solutions that work for both parties while also flagging where there is a disconnect in expectations.
    He is currently working on a number of active joint ventures. Alan holds a BA from the University of Waterloo and an MBA from London Business School. He is currently pursuing a part-time doctorate degree on the topic of Sino-Foreign Joint Venture formation. Mr. Angelov has profound experience in supporting private multinational corporations and state owed enterprises with their cross-border M&A undertakings. To date he has advised on 100+ M&A deals globally (both in emerging and developed markets such as UK, USA, Germany, and Australia), with a combined transaction value of some US$100bn. Prior to CICC Mr. Angelov worked in the Investment Banking divisions of Barclays, ABN AMRO, The Royal Bank of Scotland, and a Middle Eastern SWF.

    Wendy has extensive hands-on experience in working for joint ventures. She used to work in law firms supporting foreign direct investment for U.S. and European Investors in China for years, and then moved on to joint ventures of U.S. conglomerates working as in-house counsel and compliance officer. In her previous experience, her leading role played a crucial part in local government investigations and other compliance investigations. Also, her overall knowledge of localizing, designing and implementing an effective compliance program for joint ventures in China was well recognized by key stakeholders.
