The American Chamber of Commerce in Shanghai's Legal Committee invites you to a session on navigating China business transitions and restructuring-related risks on Wednesday, May 20, from 3:00 p.m. โ€“ 5:00 p.m. at the Chambers's conference room.


Foreign-invested companies are increasingly reassessing business structures, partnerships, and operating footprints in China. China-related restructurings and ownership changes raise a distinct set of execution issues that often differ from "US-style" M&A. This session focuses on how to manage transaction and restructuring risks when a shareholder is considering a change of ownership or control.


Lawyers from Hogan Lovells will share deal-based insights and practical approaches to managing key issues that commonly cause delay, deal friction, or value leakageโ€”covering topics such as onshore vs. offshore structuring, regulatory sequencing and timing, payment and cross-border remittance processes, cash extraction planning, and IP/data considerations, as well as alternatives where a sale is not feasible.

    Liang has extensive experience advising on complex crossโ€‘border joint ventures, mergers and acquisitions, and other strategic transactions involving China. He regularly acts for multinational corporations on the restructuring, reโ€‘positioning and optimization of their China operations, as well as for Chinese enterprises (including State-owned enterprises and private companies) in outbound investments and global expansion initiatives.

    His practice encompasses a variety of industries, including manufacturing, energy, natural resources, technology, automobile and others. He has vast experience working with Chinese companies both as clients and as opponents, and is skilled in bringing the two sides of a dispute/transaction to a negotiated deal. In addition, he also works in the area of distressed M&A or restructuring and special situations.
